CYPE one is an exclusive service for license holders of CYPE Ingenieros S.A. software, which includes the use of a temporary license for the software specified in each mode, for the duration of the annual subscription period, during which time they will have access to the "Enhancements" and "Updates" defined below. "Enhancements" are the implementation of new options or features in existing software, provided that these are significant in scope and have a name and/or price distinct from the software in which they are implemented. Under no circumstances shall the creation of a new program be considered an enhancement. "Updates" are minor changes made to the programs to facilitate their use or to adapt them to new circumstances or regulations, and corrections to detected errors. If anything is unclear, the distinction between Updates, Improvements and new programs will always be determined at the discretion of CYPE Ingenieros, S.A. "CYPE one programs" are those programs that CYPE Ingenieros, S.A. makes available to the Licensee as part of the CYPE one subscription. Access to and operational use of these programs and modules is exclusively linked to the validity of CYPE one, such that, in the event of its cancellation or expiry, the rights of use over them shall automatically cease. CYPE one agreements are made between the Licensee and CYPE Ingenieros, S.A. in accordance with the specific and general terms and conditions described herein, and shall be supplemented by and governed by the terms set out in the license agreement for the relevant software. The services specified in CYPE one may only be provided by CYPE Ingenieros, S.A., or its authorised distributors where applicable, and in the country of residence in which the contract is entered into. [1] CYPE one entitles the Licensee to receive Improvements and Updates to the relevant software produced by CYPE Ingenieros, S.A., as well as to the extension of the Warranty during the term of validity. Furthermore, the Licensee shall have operational access to the CYPE one services and software whilst the agreement remains in force, subject to the general terms and conditions. [2] The term of validity is one year from the date of registration, which takes place when the first payment is received, and shall be automatically renewed each year, unless either party gives written notice of their wish to cancel 30 days prior to the expiry date. [3] In the event of cancellation, CYPE one services and programs shall cease to be operational from the moment of cancellation; their reactivation shall be subject to renewal, without the Licensee acquiring any right to use said programs and modules during the period not covered. [4] CYPE Ingenieros, S.A. reserves the right to determine the frequency of publication of the Improvements, which shall be that of the versions in which they appear. [5] CYPE one is non-transferable and shall therefore automatically terminate should the Licensee sell, lease or otherwise permanently transfer their licence to use the programs to third parties. In this case, access rights to CYPE one services and software shall also cease immediately. [6] The Enhancements covered by this contract may be made available to the Licensee by CYPE Ingenieros, S.A. or through its Agents and Distributors. [7] Payment of the CYPE one fee shall be made prior to the start of the subscribed annual period, on the date of registration or renewal. Failure to pay shall result in the suspension of CYPE one and, consequently, CYPE Ingenieros, S.A.’s obligation to provide the services, as well as any enhancements and updates made after such cancellation, shall cease, as shall operational access to the CYPE one services and programs. [8] CYPE Ingenieros, S.A. reserves the right to review its CYPE one rates annually and to apply any adjustment it deems appropriate to such rates. [9] The parties hereby agree that any dispute arising from the interpretation of this contract shall be submitted to the courts of Alicante, Spain, expressly waiving any other jurisdiction to which they may be entitled.
